William J. Ralph, Esq. serves as outside General Counsel to Prime and provides advice on Company transactions and deal structuring. Mr. Ralph has represented Prime in many transactions, including its acquisition of office and industrial properties and senior living facilities for its REITs, and has represented clients in various complex transactions including hotels, office and apartment buildings, mixed-use projects, and multi-billion dollar portfolio acquisitions of shopping centers and warehouse distribution centers. He has significant experience in structuring joint ventures and in commercial sales, financing, ground leases and office, industrial and retail leasing. Mr. Ralph also has significant experience in representing borrowers and lenders in commercial financings including construction, bridge and permanent loans, securitized financings and portfolio loan transactions. Mr. Ralph is a summa cum laude graduate of The Ohio State University with a B.S. degree in Business Administration (Finance), and a J.D. from Columbia University Law School. Mr. Ralph was a partner at two major Chicago Law firms in their real estate groups and a part-time Adjunct Professor of Law at DePaul University Law School in Chicago.
